By accessing and using Snippetly, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Use License

Permission is granted to temporarily download one copy of the materials (information or software) on Snippetly for personal, non-commercial transitory viewing only. This is the grant of a license, not a transfer of title, and under this license you may not:

• Modifying or copying the materials
• Using the materials for any commercial purpose or for any public display
• Attempting to decompile or reverse engineer any software contained on Snippetly
• Removing any copyright or other proprietary notations from the materials
• Transferring the materials to another person or "mirroring" the materials on any other server

3. Disclaimer

The materials on Snippetly are provided on an 'as is' basis. Snippetly makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties including, without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property or other violation of rights.

4. Limitations

In no event shall Snippetly or its suppliers be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption) arising out of the use or inability to use the materials on Snippetly, even if Snippetly or a Snippetly authorized representative has been notified orally or in writing of the possibility of such damage.

5. Accuracy of Materials

The materials appearing on Snippetly could include technical, typographical, or photographic errors. Snippetly does not warrant that any of the materials on the website are accurate, complete, or current. Snippetly may make changes to the materials contained on its website at any time without notice.

6. Links

Snippetly has not reviewed all of the sites linked to its website and is not responsible for the contents of any such linked site. The inclusion of any link does not imply endorsement by Snippetly of the site. Use of any such linked website is at the user's own risk.

7. Modifications

Snippetly may revise these terms of service for its website at any time without notice. By using this website, you are agreeing to be bound by the then current version of these terms of service.

8. Governing Law

These terms and conditions are governed by and construed in accordance with the laws of the United States, and you irrevocably submit to the exclusive jurisdiction of the courts in that location.

9. User Content and Uploads

When you upload PDFs to Snippetly, you represent and warrant that:

• You own the content or have all necessary rights and licenses to upload it
• The content does not infringe any third-party intellectual property, copyright, trademark, or other rights
• The content complies with all applicable laws and regulations

You grant Snippetly a limited license to use, copy, process, and store your uploaded content solely for providing the Snippetly service to you. You retain all rights to your content.

Important: Snippetly does not screen, monitor, or filter uploaded content for viruses, malware, harmful code, or illegal material. You upload at your own risk.

10. User Indemnification

You agree to indemnify, defend, and hold harmless Snippetly, its officers, directors, employees, agents, and successors from any and all claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:

• Your use of Snippetly in violation of these Terms
• Your uploaded content, including copyright infringement, intellectual property violations, or defamation claims
• Your violation of any third-party rights
• Your violation of any applicable laws or regulations

11. DMCA Copyright Notices

Snippetly respects copyright law and the Digital Millennium Copyright Act (DMCA). If you believe your copyrighted work has been uploaded to Snippetly without authorization, you may submit a DMCA takedown notice to our designated copyright agent:

Your notice must include:

• A description of the copyrighted work and its location on Snippetly
• Your contact information and statement that you are the copyright owner (or authorized agent)
• A statement under penalty of perjury that the information is accurate

Snippetly will respond to valid DMCA notices and, if appropriate, remove or disable access to infringing content. Users who submit false DMCA claims may be liable for damages.

12. Counter-Notice

If your content has been removed due to a DMCA notice and you believe it was removed in error, you may submit a counter-notice. Counter-notices must include your statement under penalty of perjury that the content was removed by mistake, your contact information, and your consent to jurisdiction.

13. Acceptable Use

You agree not to use Snippetly for any unlawful purpose or in violation of any laws or regulations. You agree not to:

• Upload content that infringes third-party intellectual property or copyright
• Upload malware, viruses, or harmful code
• Harass or cause distress or inconvenience to any person
• Upload obscene, defamatory, or offensive content
• Disrupt the normal flow of dialogue within our website
• Attempt to gain unauthorized access to our systems
• Use the service for commercial purposes without permission

14. Limitation of Liability

IN NO EVENT SHALL SNIPPETLY OR ITS SUPPLIERS BE LIABLE FOR ANY DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Damages from loss of data, profit, or business interruption
• Damages from third-party claims of copyright or intellectual property infringement related to user-uploaded content
• Damages from unauthorized access to or alteration of your transmissions or data
• Loss or corruption of your uploaded PDFs
• Any indirect, incidental, special, or consequential damages

This limitation applies even if Snippetly has been notified of the possibility of such damages.

15. Termination

Snippetly may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including if you breach these Terms or upload infringing, malicious, or illegal content.

16. Data Retention

Upon account deletion, we will delete your uploaded PDFs and associated data within 30 days. However, we may retain anonymized, aggregated usage data and backups for up to 90 days. Legally required information may be retained as necessary.
